Introduction​

Welcome to Free2Z, a dynamic and innovative platform offering a range of services including social media sharing, AI image/text generation, livestreams, and a unique revenue sharing model. By accessing or using Free2Z in any manner, including, but not limited to, visiting or browsing the site or contributing content, information, or other materials to the site, you agree to be bound by these Terms of Service. These Terms apply to all users of the site, including without limitation users who are contributors of content, information, and other materials or services on the website. Please read these Terms carefully before using our services.

Interpretation and Definitions​

Interpretation​

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions​

For the purposes of these Terms and Conditions:

  • Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
  • Account means a unique account created for You to access our Service or parts of our Service.
  • Country refers to: Delaware, United States
  • Company (referred to as either "Company", "the Company", "We", "we", "Us" or "Our" in this Agreement) refers to 2z Inc., 251 Little Falls Drive, Wilmington, DE 19808.
  • Content refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.
  • Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.
  • Feedback means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.
  • Materials means Free2Z's trademarks and logos, the visual interfaces, graphics, design, compilation, information, software, computer code (including source code or object code), services, text, pictures, information, data, sound files, and other files
  • Promotions refer to contests, sweepstakes or other promotions offered through the Service.
  • Terms of Service (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
  • Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.
  • Free2Z (also referred to as "Website", "platform" or "the platform" or "Free2Z platform") refers to the Free2z web application, accessible from https://free2z.com and https://free2z.cash
  • You (also referred to as either "you", "your", "User", or "the User" in this agreeement) means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
  • 2Z Tokens: Digital units specific to the Free2Z application, used for conducting in-app transactions. These tokens are not to be construed as real money, legal tender, or any form of financial or legal instrument outside the Free2Z platform.

Scope of Agreement​

This Terms of Service document, along with the accompanying documents listed below, constitutes the entire legal agreement between You (the User) and the Company regarding your use of Free2Z:

Agreement Acceptance​

By using Free2Z, You acknowledge and agree to be bound by the terms and conditions set forth in this Terms of Service document and all related policy documents as referenced above. It is your responsibility to read, understand, and comply with each of these documents, as they collectively form the basis of your legal relationship with the Company.

Document Accessibility​

All accompanying policy documents are integral to this agreement and are accessible on our platform. We encourage you to review each document, as they contain important information about your rights and obligations in using Free2Z.

Updates and Changes​

The contents of this agreement, including all referenced documents, may be updated or amended from time to time. Such changes will be communicated in accordance with the 'Modification of Terms' section of this document. Your continued use of Free2Z following any such changes will constitute your consent to those changes.

By using the Free2Z, you confirm that you have read, understood, and agreed to be bound by this comprehensive agreement, including all referenced documents, as the legal framework governing your use of our services.

Acceptance of Terms​

By accessing, using, or interacting with the Free2Z website or its services, you confirm that you accept these Terms of Service and understand that they include important policies and agreements, such as the Privacy Policy, User Content Agreement, Crypto Contribution Guidelines, and others as listed on our website. Your continued use of Free2Z constitutes your agreement to these terms and all related policies, which govern your use of our services.

For a full understanding of your rights and obligations, we recommend reviewing all relevant documents, which are accessible on our website. If you do not accept any part of these terms, you must not use this website or any associated services.

Modification of Terms​

The Company is dedicated to continuously improving our services and ensuring they remain compliant with evolving legal and regulatory standards. Consequently, we may occasionally update these Terms of Service. Such changes will be effective immediately upon posting on our website, unless otherwise noted.

We are committed to communicating changes effectively and will strive to inform you of significant updates to these Terms. Nevertheless, we encourage you to review these Terms regularly to keep abreast of any changes. Your ongoing use of Free2Z after the implementation of any changes indicates your acknowledgment and acceptance of these changes. If at any point you find that the updated Terms are not aligned with your preferences, we respect your decision to discontinue using our services.

License​

Free2Z is owned and operated by the Company. Unless otherwise indicated, all content, information, and other materials on Free2Z (excluding User Content, set out in the User Content Agreement below), including, without limitation, the Materials, are protected by relevant intellectual property and proprietary rights and laws. All Materials are the property of the Company or its subsidiaries or affiliated companies and/or third-party licensors. Unless otherwise expressly stated in writing by the Company, by agreeing to these Terms of Service you are granted a limited, non-sublicensable, and non-transferable license (i.e., a personal and limited right) to access and use Free2Z for your personal use or internal business use only.

The Company reserves all rights not expressly granted in these Terms of Service. This license is subject to these Terms of Service and does not permit you to engage in any of the following: (a) resale or commercial use of Free2Z or the Materials; (b) distribution, public performance or public display of any Materials; (c) modifying or otherwise making any derivative uses of Free2Z or the Materials, or any portion of them; (d) use of any data mining, robots, or similar data gathering or extraction methods; (e) downloading (except page caching) of any portion of Free2Z, the Materials, or any information contained in them, except as expressly permitted on Free2Z; or (f) any use of Free2Z or the Materials except for their intended purposes. Any use of Free2Z or the Materials except as specifically authorized in these Terms of Service, without the prior written permission of the Company, is strictly prohibited and may violate intellectual property rights or other laws. Unless explicitly stated in these Terms of Service, nothing in them shall be interpreted as conferring any license to intellectual property rights, whether by estoppel, implication, or other legal principles. The Company can terminate this license as set out in the Termination section below.

User Accounts and Responsibilities​

Account Creation and Accessibility​

  • Flexible Registration: Registering on Free2Z requires just a username and password, supporting those who prefer anonymity. This simplicity grants access to our basic platform features.
  • Optional Account Enhancements: You can optionally enhance your Free2Z experience by adding an email address for password recovery and connecting social media accounts through OAuth, ensuring secure and verified integrations.

Information Accuracy and Updates​

  • Initial Information: The initial setup is streamlined to respect your privacy, requiring minimal information.
  • Voluntary Updates for Advanced Features: Should you choose to utilize advanced features of Free2Z, like AML/KYC verifications or adding tax forms, providing accurate information is vital for these specific functionalities. These steps are entirely optional and under your control.

Account Security​

  • Personal Responsibility: The security of your account relies on the confidentiality of your login credentials. We encourage strong, unique passwords and cautious access, especially in shared environments.
  • Prompt Reporting of Security Concerns: If you suspect any unauthorized access to your account, please report it immediately. We are committed to assisting in the protection of your account.

User Conduct​

Free2Z champions the principle of individual liberty, encouraging users to express themselves freely within the bounds of legal constraints. We believe in maintaining an open platform where diverse voices can be heard and respected. However, to ensure the overall wellbeing of our community and the integrity of our platform, Free2Z reserves the right to take necessary actions in cases where content or behavior is deemed harmful or inappropriate. This may include content removal, account suspension, or other measures. Our actions are guided by a commitment to fostering a constructive and lawful environment for all users.

Account Termination​

  • User Choice: You have the autonomy to close your account when desired.
  • Enforcement of Terms and Policies: In instances of policy violation, accounts may be subject to suspension or termination, following a process of careful consideration and communication.

Your engagement with Free2Z signifies your agreement to these terms, reflecting our commitment to maintaining a respectful, secure community while upholding your privacy and autonomy.

Use of Free2Z by Minors and Blocked Persons​

Free2Z is not available to persons under the age of 13. If you are between the ages of 13 and the age of legal majority in your jurisdiction of residence, you may only use Free2Z under the supervision of a parent or legal guardian who agrees to be bound by these Terms of Service.

Free2Z is also not available to any users previously removed from Free2Z by the Company or to any persons barred from receiving them under the laws of the United States (such as its export and re-export restrictions and regulations) or applicable laws in any other jurisdiction.

BY DOWNLOADING, INSTALLING, OR OTHERWISE USING FREE2Z, YOU REPRESENT THAT YOU ARE AT LEAST 13 YEARS OF AGE, THAT YOUR PARENT OR LEGAL GUARDIAN AGREES TO BE BOUND BY THESE TERMS OF SERVICE IF YOU ARE BETWEEN 13 AND THE AGE OF LEGAL MAJORITY IN YOUR JURISDICTION OF RESIDENCE, AND THAT YOU HAVE NOT BEEN PREVIOUSLY REMOVED FROM AND ARE NOT PROHIBITED FROM RECEIVING FREE2Z.

Services Offered​

Free2Z provides a versatile and evolving range of services to meet the diverse needs of our community. These services are designed to be adaptive, reflecting our commitment to innovation and user experience. Our offerings include, but are not limited to:

  • User Profiles: A platform for users to create and manage their personal profiles for community interaction.
  • Content Creation and Sharing: Tools and features that allow users to create, share, and engage with a variety of content forms, such as blogs, pages, or posts.
  • Community Interaction: Features for user engagement, including feedback mechanisms, discussions, and user-to-user connections.
  • Token-Based Transactions: The platform offers functionalities for utilizing platform-specific digital units, designated as "2Z" tokens, for various in-application activities, including but not limited to supporting fellow users and accessing exclusive content. Please be advised: 2Z tokens are proprietary digital units utilized solely within the confines of the Free2Z platform. They do not constitute real currency, legal tender, or any form of financial instrument outside the purview of the Free2Z ecosystem.
  • AI-Enabled Features: Advanced AI-powered capabilities for creating and interacting with content.
  • Livestreaming and Digital Events: A variety of live and interactive digital events, accessible in different formats and access levels.

As the needs and preferences of our users evolve, so too will Free2Z's services. We may introduce new offerings, adjust existing ones, or phase out certain features in response to user feedback and market trends. Your use of Free2Z's services is subject to the terms outlined in our Terms and related policy documents.

Intellectual Property Rights​

User-Generated and AI-Generated Content​

  • Ownership: Users retain ownership of all original content they create and upload, including text, images, videos, and other materials. This includes content created using AI tools provided by Free2Z.
  • License to Free2Z: When content is made public on the platform, users grant Free2Z a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute this content. This may include using it for promotional purposes. Private or restricted content is not included under this license.

AI Service Provider Rights​

  • Compliance with AI Providers: Free2Z adheres to the intellectual property policies of third-party AI service providers. As such, the use of AI-generated content on Free2Z is subject to these providers' terms and conditions.

Protection of User Content​

  • Respect for Privacy: Content marked as private or restricted (such as subscriber-only or paywalled content) will be treated in accordance with the designated privacy settings and not used beyond the intended scope.

Free2Z Content​

  • Branded Content The Company recognizes that some Users collaborate with brands and may publish “Branded Content,” which is any User Content featuring, using, discussing, or promoting products, services, or specific content in exchange for something of value, such as being paid or provided with goods or services. Branded Content includes without limitation paid product placements, endorsements, and sponsorships. The Company allows you to publish Branded Content using Free2Z provided that your Branded Content complies with these Terms of Service and applicable law.

If you choose to publish Branded Content on Free2Z you agree to disclose to viewers that your live stream contains Branded Content. In addition, you agree that you are solely responsible for ensuring that your Branded Content complies with any and all applicable advertising laws, regulations, and guidelines, including without limitation the U.S. Federal Trade Commission’s Guidelines (the “Advertising Guidelines”). For example, if you have been paid or provided with free products in exchange for discussing or promoting a product or service through Free2Z, or if you are an employee of a company and you discuss or promote that company’s products or services through Free2Z, you agree to comply with the Advertising Guidelines’ requirements for disclosing such relationships to indicate the commercial nature of the Branded Content.

  • Platform-Owned Material: Content created by Free2Z, including text, graphics, and software, is owned by Free2Z and protected under intellectual property laws.

Your use of Free2Z’s services, including the creation and sharing of content, indicates your agreement with these intellectual property terms, ensuring a balance between user creativity and platform integrity.

Advertisements​

The Company has the exclusive right to monetize Free2Z, including without limitation, the exclusive right to sell, serve, and display advertisements on Free2Z. Third-party advertising networks are not allowed to serve advertising through Free2Z. However, you can publish Branded Content using Free2Z as set forth the Branded Content section above.

Termination and Account Cancellation​

To the fullest extent permitted by applicable law, the Company reserves the right, without notice and in our sole discretion, to stop providing Free2Z (or any features) to you or to users generally, to terminate this Terms of Service agreement with you, to terminate your license to use Free2Z (including to post User Content), and to block or prevent your future access to and use of the Free2Z for any reason, including without limitation if: (a) your use of Free2Z violates these Terms of Service or applicable law; (b) you fraudulently use or misuse Free2Z; or (c) we are unable to continue providing Free2Z to you due to technical or business reasons. Our right to terminate our services, this agreement, and your license includes the ability to terminate or to suspend your access to any purchased products or services, including any subscriptions.

  • User-Initiated Termination: To terminate your account, please send a request to skylar@free2z.com. We will address your request as efficiently as possible, acknowledging that some time may be required to complete this process.
  • Consequences of Termination: Terminating an account leads to the cessation of your rights to use the services through that specific account. We may also delete or deactivate any information and data associated with the terminated account. This action does not affect any other accounts you may have with Free2Z.

We are committed to providing users with the freedom to manage their engagement with our services, in accordance with our terms and policies.

Third-Party Intellectual Property​

  • User Responsibility: Users are responsible for ensuring that the content they upload does not infringe on the intellectual property rights of others. This includes refraining from posting content that they do not have the right to use or share.
  • Infringement Claims: If Free2Z receives a claim alleging that content on the platform infringes on another party's intellectual property rights, we may take appropriate actions, including removing the content and/or suspending or terminating the account of the infringing user.
  • Notification and Response Procedure: Free2Z will follow an established process for handling allegations of IP infringement, including notifying affected users and providing them an opportunity to respond.

Privacy and Data Use​

Free2Z is committed to protecting your privacy and personal information. Our data use practices are guided by our Privacy Policy, which details how we collect, store, and use your data.

  • Data Collection: We collect information necessary to provide our services, which may include data you voluntarily provide and data related to your use of the platform.
  • Use of Data: The information collected is used to enhance your experience, improve our services, and comply with legal obligations.
  • Data Protection: We implement robust security measures to safeguard your data against unauthorized access or misuse.
  • Sharing and Disclosure: We do not sell your personal data. Any sharing of data is strictly in line with our Privacy Policy, which may include situations where we are legally required to disclose information.

Your use of Free2Z constitutes your consent to our data practices as described in the Privacy Policy. We encourage you to review this policy to understand your rights and our responsibilities in detail.

Risk Acknowledgement​

By using the Free2Z platform, you acknowledge and agree that there are inherent risks associated with the functionalities and services offered. These risks may include, but are not limited to, exposure to content that might be offensive, harmful, inaccurate, or otherwise inappropriate, and the potential risks involved in cryptocurrency transactions and digital interactions. While Free2Z endeavors to foster a safe and secure environment, we cannot guarantee complete control over these risks. Your decision to engage with the platform signifies your understanding and acceptance of these risks. Free2Z disclaims any liability related to these inherent risks.

Free2Z operates in strict adherence to applicable laws and regulations:

  • Legal Compliance: We are committed to complying with all relevant legal requirements, including those related to data privacy, intellectual property, and online conduct.
  • Regulatory Observance: As a platform that facilitates various online interactions and transactions, we adhere to regulatory standards governing these activities, especially in areas like cryptocurrency and digital content.
  • User Cooperation: Users are expected to use Free2Z's services in compliance with all applicable laws and regulations. Any activities found in violation may lead to account suspension or termination.

This commitment ensures that Free2Z operates within the legal framework, providing a secure and compliant environment for our users.

Disputes​

  • Indemnification To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Company, its affiliated companies, and each of our respective contractors, employees, officers, directors, agents, third-party suppliers, licensors, and partners (individually and collectively, the “Free2Z Parties”) from any claims, losses, damages, demands, expenses, costs, and liabilities, including legal fees and expenses, arising out of or related to your access, use, or misuse of the Free2Z, any User Content you post, store, or otherwise transmit in or through the Free2Z, your violation of the rights of any third party, any violation by you of these Terms of Service, or any breach of the representations, warranties, and covenants made by you herein. You agree to promptly notify the Free2Z Parties of any third-party claim, and the Company reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify the Company, and you agree to cooperate with the Company’s defense of these claims. the Company will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

  • Disclaimers; No Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW AND EXCEPT AS STATED IN SUBSECTION ii. BELOW: (A) FREE2Z AND THE CONTENT AND MATERIALS CONTAINED THEREIN ARE PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, EXCEPT AS EXPRESSLY PROVIDED TO THE CONTRARY IN WRITING BY THE COMPANY; (B) THE FREE2Z PARTIES DISCLAIM ALL OTHER WARRANTIES, STATUTORY, EXPRESS, OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT AS TO THE COMPANY, INCLUDING ANY INFORMATION, CONTENT, OR MATERIALS CONTAINED THEREIN; (C) THE COMPANY DOES NOT REPRESENT OR WARRANT THAT THE CONTENT OR MATERIALS ON FREE2Z ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE; (D) THE COMPANY IS NOT RESPONSIBLE FOR TYPOGRAPHICAL ERRORS OR OMISSIONS RELATING TO TEXT OR PHOTOGRAPHY; AND (E) WHILE THE COMPANY ATTEMPTS TO MAKE YOUR ACCESS AND USE OF FREE2Z SAFE, THE COMPANY CANNOT AND DOES NOT REPRESENT OR WARRANT THAT FREE2Z OR OUR SERVER(S) ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, AND THEREFORE, YOU SHOULD USE INDUSTRY-RECOGNIZED SOFTWARE TO DETECT AND DISINFECT VIRUSES FROM ANY DOWNLOAD. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE COMPANY OR THROUGH FREE2Z WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

EU/EEA/UK/CH Warranty Rights

For residents of the European Union or the European Economic Area, the United Kingdom, or Switzerland who are acting as a Consumer, there are warranty rights under applicable law in case of any non-conformity of digital content and services. Such rights shall remain unaffected by these Terms of Service. In such a case, the Company offers no further implied or statutory warranties or conditions with regard to digital content and services, and explicitly disclaims all implied warranties and conditions to the maximum extent permitted by applicable law.

You acknowledge that we may change Free2Z from time to time without causing its non-conformity, including when needed to comply with applicable law or regulation, or for business, security, or operational reasons, and including to make any improvements to your access to the Free2Z.

  • Limitation of Liability and Damages Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT SHALL THE COMPANY OR THE FREE2Z PARTIES BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOSS OF PROFITS, OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE), OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF OR INABILITY TO USE FREE2Z, THE CONTENT OR THE MATERIALS, INCLUDING WITHOUT LIMITATION ANY DAMAGES CAUSED BY OR RESULTING FROM RELIANCE ON ANY INFORMATION OBTAINED FROM THE COMPANY, OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION, OR UNAUTHORIZED ACCESS TO THE COMPANY’S RECORDS, PROGRAMS, OR SERVICES; AND (B) IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE COMPANY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE, OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY, OR OTHER THEORY, ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE FREE2Z EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING FREE2Z DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM OR ONE HUNDRED DOLLARS, WHICHEVER IS GREATER. TO THE EXTENT THAT APPLICABLE LAW PROHIBITS LIMITATION OF SUCH LIABILITY, the Company SHALL LIMIT ITS LIABILITY TO THE FULL EXTENT ALLOWED BY APPLICABLE LAW.

  • Reference Sites

THESE LIMITATIONS OF LIABILITY ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY YOU BY REASON OF ANY PRODUCTS OR SERVICES SOLD OR PROVIDED ON ANY REFERENCE SITES OR OTHERWISE BY THIRD PARTIES OTHER THAN THE COMPANY AND RECEIVED THROUGH OR ADVERTISED ON FREE2Z OR RECEIVED THROUGH ANY REFERENCE SITES.

Basis of the Bargain

YOU ACKNOWLEDGE AND AGREE THAT THE COMPANY HAS OFFERED FREE2Z, USER CONTENT, MATERIALS, AND OTHER CONTENT AND INFORMATION, SET ITS PRICES, AND ENTERED INTO THESE TERMS OF SERVICE IN RELIANCE UPON THE WARRANTY DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH HEREIN, THAT THE WARRANTY DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH HEREIN REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND THE COMPANY, AND THAT THE WARRANTY DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH HEREIN FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND THE COMPANY. THE COMPANY WOULD NOT BE ABLE TO PROVIDE FREE2Z TO YOU ON AN ECONOMICALLY REASONABLE BASIS WITHOUT THESE LIMITATIONS.

Applicable Law and Venue (i) To the fullest extent permitted by applicable law, you and the Company agree that if you are a Subscribing Organization or a consumer resident of a jurisdiction other than those in (ii) and (iii) below, the following governing law and arbitration provision applies:

PLEASE READ THE FOLLOWING CAREFULLY BECAUSE IT REQUIRES YOU TO ARBITRATE DISPUTES WITH THE COMPANY AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM THE COMPANY.

(a) You and the Company agree to arbitrate any dispute arising from these Terms of Service or your use of the Free2Z, except that you and the Company are not required to arbitrate any dispute in which either party seeks equitable and other relief for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets, or patents. ARBITRATION PREVENTS YOU FROM SUING IN COURT OR FROM HAVING A JURY TRIAL. You and the Company agree that you will notify each other in writing of any dispute within thirty (30) days of when it arises. Notice to the Company shall be sent to: 2z Inc., Attn: Legal, 251 Little Falls Drive, Wilmington, DE 19808. You and the Company further agree: to attempt informal resolution prior to any demand for arbitration; that any arbitration will occur in Wilmington, DE; that arbitration will be conducted confidentially by a single arbitrator in accordance with the rules of JAMS; and that the state or federal courts in New Castle County, Delaware have exclusive jurisdiction over any appeals of an arbitration award and over any suit between the parties not subject to arbitration. Other than class procedures and remedies discussed below, the arbitrator has the authority to grant any remedy that would otherwise be available in court.

(b) Any dispute between the parties will be governed by this Agreement and the laws of the Country, without giving effect to any conflict of laws principles that may provide for the application of the law of another jurisdiction.

(c) Whether the dispute is heard in arbitration or in court, you and the Company will not commence against the other a class action, class arbitration, or other representative action or proceeding.

(ii) For residents of the European Union or the European Economic Area, the United Kingdom, or Switzerland who are acting as a Consumer, these Terms of Service and any disputes, claims, or causes of action arising out of or in connection with them will be governed by the laws of the State of Delaware and applicable United States law, provided that this choice of governing law will not deprive you of the protection afforded to you by provisions that cannot be derogated from by agreement by virtue of the laws applicable where you habitually reside. In such cases, disputes shall be resolved in the competent civil courts as determined by applicable law.

(iii) If you are a resident in any jurisdiction other than those named in (ii) in which the arbitration provision in the section (i)(a) above is found to be unenforceable, then any disputes, claims, or causes of action arising out of or in connection with these Terms of Service shall be brought and resolved by the state or federal courts in New Castle County, Delaware or, if required by applicable law, then by competent civil courts within your jurisdiction of residence. If the governing law provision in (i)(b) is found to be unenforceable, then the laws of your jurisdiction of residence shall govern.

e. Claims TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND the Company AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO FREE2Z MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

General Provisions​

  • Severability: If any part of these Terms is found to be invalid or unenforceable, that part will be modified to reflect the parties' intention or severed if necessary, and the remaining sections will remain in full force and effect.
  • Waiver: Any failure by Free2Z to enforce a right or provision of these Terms does not constitute a waiver of future enforcement of that right or provision.
  • Entire Agreement: These Terms, together with any policies and agreements referenced herein, constitute the entire agreement between you and Free2Z regarding the services.
  • Assignment: Free2Z may assign its rights and obligations under these Terms, in whole or in part, to any party at any time without notice. Users may not assign their rights or obligations under these Terms without Free2Z's prior written consent.
  • Governing Law: The laws of the Country, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.
  • Disputes Resolution: If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.
  • Amendments: Free2Z reserves the right to amend these Terms at any time, with notice provided to users in accordance with the 'Modification of Terms' section.
